2. Scope of Services
Agar Wellness is a digital platform connecting clients with independent mental health professionals for nonclinical counseling and guidance. Our services include:

  • Individual Counseling: One-on-one support for personal struggles, mental health challenges, and personal growth.
  • Couples Therapy: Guidance for couples navigating relationship challenges, improving communication, and strengthening connections.
  • Family Therapy: Support for families to improve dynamics, resolve conflicts, and foster healthy relationships.
  • Career Advancement Services: Coaching and guidance to help individuals advance in their careers.
  • Faith-Based Counseling: Spiritual support integrating faith-based principles for healing and growth.

Please note: Our services are nonclinical and do not involve diagnosis, treatment, or clinical therapy. If you need clinical or emergency care, please contact the appropriate healthcare provider or emergency services.

Providers on the Platform are independent contractors who meet Agar Wellness’s professional criteria and complete required training before offering services.

3. User Eligibility
3.1 For Clients

  • You must be at least 18 years old to use the Platform.
  • Minors (14-17 years old) may use the platform with the consent and involvement of their legal guardian. All forms must be completed by the guardian.
  • By registering, you confirm that all information you provide is accurate, complete, and up to date.

3.2 For Providers
To become a provider, you must meet the following criteria:

  • Have at least two years of professional experience in counseling or a related field.
  • Demonstrate a record of ethical conduct in your professional and community engagements.
    Providers must comply with Agar Wellness’s Ethical Guidelines for Providers, participate in required training, and adhere to platform standards.

4. User Consent
4.1 Data Collection and Use
By using our services, you consent to the collection, use, and processing of your personal data as outlined in our Privacy Policy. Your consent will be obtained through clear, understandable means in compliance with applicable laws.
4.2 Withdrawal of Consent
You have the right to withdraw your consent at any time. Please note that withdrawing consent may limit your access to some services.

5. Accounts and Payments
5.1 Client Accounts

  • Clients must create an account to access our services.
  • You are responsible for maintaining the confidentiality of your account credentials and ensuring no unauthorized access.

5.2 Payment Terms

  • Payment is required at the time of booking and can be made on a per-session basis or for multiple sessions.
  • Agar Wellness retains a 25% commission from the session fee, with providers being paid bi-weekly for completed sessions.

6. Confidentiality and Data Privacy

  • All communications between clients and providers are strictly confidential.
  • Session records, including notes or transcripts, are not stored on the Platform and are only accessible by the provider and client.
  • Agar Wellness complies with HIPAA, GDPR, and CCPA regulations to ensure data privacy and security.

7. Ethical Guidelines and Conduct
7.1 Client and Provider Expectations
Both clients and providers are expected to uphold the highest ethical standards while using the Platform. Violations of these standards may result in suspension or termination of access to the Platform.

These TOS are governed by and construed in accordance with the laws of the United States, while ensuring compliance with relevant international regulations. This includes:

  • The General Data Protection Regulation (GDPR) for users within the European Union.
  • The California Consumer Privacy Act (CCPA) for users within the United States.

11. Limitation of Liability
Agar Wellness and any affiliated parties are not liable for:

  • Any indirect, consequential, incidental, or special damages arising from the services provided by independent professionals.
  • Damages or claims resulting from misuse or unauthorized access to the Platform.
    Disputes related to these Terms or Services must be resolved through individual actions, not class actions or collective proceedings.

12. Modifications to the TOS
Agar Wellness reserves the right to update or modify these TOS at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised terms. If there is a conflict between these Terms and additional terms, the additional terms will control for that conflict.
